Terms of Service

These Terms of Service ("Terms") govern access to and use of the Mining Terminal websites, applications, data APIs, reports, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms and our Privacy Policy.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. In that case, "you" and "your" refer to the organization.

You must be at least 18 years old and capable of forming a binding contract to use the Services. You may not use the Services if you are barred from doing so under applicable law.

Mining Terminal Inc. is a mining intelligence platform offering data, analytics, research, and related tooling for professional users. We are a data company, not a broker, dealer, or investment adviser, and we do not provide investment, legal, tax, or other professional advice.

The Services may include subscription access to datasets, dashboards, alerts, APIs, reports, and consulting engagements. Certain services may be governed by a separate written agreement or order form, which will control if it conflicts with these Terms.

• You must provide accurate, current account information and keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• Enterprise administrators may manage user access, permissions, and usage within their accounts.

• Paid Services are billed in advance on the billing cycle described at purchase.
• Subscriptions renew automatically unless canceled before the renewal date.
• Fees are non-refundable except where required by law or stated in a written agreement.
• You are responsible for applicable taxes, duties, and bank fees.
• We may suspend access for late or failed payments after reasonable notice.

Trial access, discounts, or promotional pricing may be offered at our discretion and can change at any time.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You may not sublicense, resell, or publicly distribute the Services or data.

• Copying, scraping, or harvesting data at scale without written authorization.
• Reverse engineering, decompiling, or attempting to discover source code or models.
• Sharing credentials or exceeding the licensed number of users or seats.
• Using the Services to build a competing product or dataset.
• Bypassing security controls or interfering with platform performance.
• Using the Services for unlawful, infringing, or abusive activities.

The Services compile and organize information from public filings, company disclosures, and other third-party sources. We strive for accuracy and timeliness, but data may be delayed, incomplete, or contain errors. You are responsible for verifying information before making decisions.

The Services may link to or integrate with third-party websites, data sources, or services. We do not control those third parties and are not responsible for their content, security, or practices. Your use of third-party services is subject to their own terms and policies.

Mining Terminal and its licensors own the Services, software, data structures, models, trademarks, and content. Except for the limited license granted in these Terms, no rights are transferred to you.

You retain ownership of content you submit to the Services. You grant Mining Terminal a license to host, process, and display that content solely to provide and improve the Services.

You may receive non-public information about the Services, data, or methodologies. You agree to keep such information confidential and to use it only for authorized purposes. Confidentiality does not apply to information that becomes public through no fault of yours or is independently developed.

We may suspend or terminate access if you violate these Terms, misuse the Services, or fail to pay applicable fees. You may stop using the Services at any time. Sections that by their nature should survive termination will remain in effect.

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, error-free, or secure operation.

To the maximum extent permitted by law, Mining Terminal will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim arising from the Services will not exceed the fees you paid to Mining Terminal in the 12 months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Mining Terminal, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of the Services or violation of these Terms.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. You agree to exclusive jurisdiction and venue in the state or federal courts located in Delaware for any dispute arising under these Terms.

We may update these Terms from time to time. We will post the updated Terms and revise the "Last updated" date above. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
